Job Summary

Value International Group, a leading engineering consultancy company, is seeking an experienced and highly motivated Legal Advisor to join the Legal Department. The successful candidate will be responsible for providing strategic legal advice and managing the company’s legal and contractual matters within the Kingdom of Saudi Arabia. The role includes drafting, reviewing, negotiating, and administering engineering consultancy, construction, commercial, and corporate agreements while ensuring compliance with applicable Saudi laws, client requirements, contractual obligations, and company policies. The Legal Advisor will work closely with internal departments, clients, consultants, contractors, subcontractors, and external legal counsel to minimize legal risks and support informed business decisions.

Key Responsibilities

  1. Legal Advisory & Corporate Support
  • Provide proactive legal advice to management and internal departments on corporate, commercial, labor, and contractual matters.
  • Interpret applicable Saudi laws, regulations, and legal requirements and advise the business accordingly.
  • Prepare legal opinions, memoranda, reports, and recommendations to support strategic and operational decisions.
  • Support the development, implementation, and review of company legal policies and governance practices.
  1. Contract Management
  • Draft, review, negotiate, and amend engineering consultancy agreements, construction contracts, commercial agreements, NDAs, service agreements, and other legal documents.
  • Review tender and contract documents to identify legal, commercial, and contractual risks.
  • Ensure contractual terms comply with Saudi laws, client requirements, company policies, and approved contractual standards.
  • Maintain contract registers and monitor contractual obligations, milestones, amendments, renewals, and expiry dates.
  1. Compliance & Risk Management
  • Ensure compliance with Saudi laws and regulations, including corporate, commercial, labor, and engineering consultancy requirements.
  • Identify legal risks and recommend practical mitigation measures.
  • Coordinate legal compliance activities across departments.
  • Monitor legislative updates and advise management on regulatory changes affecting the business.
  1. Claims, Disputes & Legal Coordination
  • Support the management of contractual claims, disputes, and legal correspondence.
  • Coordinate with external legal counsel, government authorities, clients, contractors, consultants, and subcontractors whenever required.
  • Prepare legal documentation and supporting evidence for dispute resolution, negotiations, or litigation.
  • Review client comments, contractual deviations, and legal clarifications during tender and project execution stages.
  1. Documentation & Reporting
  • Maintain organized legal records, contracts, correspondence, and confidential documentation.
  • Prepare periodic legal reports and contract status reports.
  • Ensure confidentiality and proper retention of legal records in accordance with company procedures.
  1. Meetings & Stakeholder Coordination
  • Attend internal and external meetings related to legal and contractual matters.
  • Prepare accurate Minutes of Meeting (MoM), including discussions, decisions, agreed actions, responsible parties, and target dates.
  • Circulate draft Minutes for review and approval, distribute finalized Minutes to the concerned stakeholders, and maintain proper records of approved meeting documentation.
  1. Continuous Improvement
  • Contribute to improving legal processes, contract administration procedures, and compliance practices.
  • Support the implementation of legal best practices and corporate governance initiatives.
  • Recommend improvements that enhance legal efficiency, risk management, and operational effectiveness.

Qualifications & Experience

  • Bachelor’s degree in Law.
  • Minimum 5 years of experience as a Legal Advisor.
  • Previous experience in an Engineering Consultancy company is mandatory.
  • Strong knowledge of Saudi corporate, commercial, labor, and engineering-related laws and regulations.
  • Proven experience in drafting, reviewing, and negotiating engineering consultancy and construction contracts.
  • Excellent communication and negotiation skills in both English and Arabic.
  • Must be currently based in Riyadh, Saudi Arabia.
  • Valid Saudi residency (Iqama) is required.
  • Valid Saudi driving license is required.

  • Reports to: the QA/QC Manager.
